Affiliate program terms

These terms apply to all visitors, registered users, and customers of EchoClip.ai.
Overview
These Affiliate Program Terms (the "Affiliate Terms") govern your participation in EchoClip.ai's affiliate program (the "Program"). By enrolling — clicking "Become an affiliate" inside your EchoClip account — you (the "Affiliate") agree to be bound by these Affiliate Terms, by the EchoClip.ai Terms of Service, and by Stripe Connected Account Agreement. The Program is offered by Atlas Ridge Holdings and Developments, Co. trading as EchoClip.ai ("EchoClip", "we", "us").
If you do not agree to any part of these Affiliate Terms, do not enroll, do not share your affiliate code, and do not accept payouts.
Eligibility
You must (i) be at least 18 years old, (ii) maintain an EchoClip account in good standing, and (iii) be legally able to enter into a binding contract in your jurisdiction. We may reject or terminate participation at our sole discretion, including for fraud, deceptive marketing, brand violations, or competitive positioning that misrepresents our product.
Employees, contractors, and immediate family members of Atlas Ridge Holdings and Developments, Co. may enroll personally but may not pay themselves commission via self-referral. See "Prohibited tactics" below.
Affiliate code and tracking link
On enrollment, you may pick a vanity affiliate code (up to 20 characters, A-Z 0-9 _ -). We provision Stripe Promotion Codes for monthly and annual subscriptions. Monthly referrals grant the referred customer 15% off their first 3 monthly invoices; annual referrals grant 15% off their first annual invoice.
The corresponding tracking link is `https://echoclip.ai/?ref=YOUR_CODE`. Attribution is captured via a 30-day first-touch cookie set by our website middleware. If a referred user clears their cookies or visits another affiliate's link first, they will not be attributed to you.
You are responsible for protecting your code. EchoClip is not liable for commissions lost due to a code being publicly shared in ways that allow non-referred customers to redeem the discount.
Commission structure
EchoClip pays the Affiliate a commission equal to 15% of the net amount paid (i.e. after the affiliate discount has been applied) on each eligible invoice. Eligible invoices are:
• For a referred monthly subscription: the first 3 monthly invoices. • For a referred annual subscription: the first 1 annual invoice.
No commission is earned on:
• Auto-overage charges or any usage-based add-on invoices. • Invoices for referrals where the discount could not be applied (e.g. customer was already a paying user). • Renewals beyond the eligible window. • Invoices that were refunded or disputed (see "Clawback").
We reserve the right to change the commission percentage, eligible-invoice count, customer discount percentage, or other Program economics for new referrals at any time, with reasonable advance notice via email or the affiliate dashboard. Existing pending commissions accrued under the prior rate are honored.
Payouts
Payouts are made via Stripe Connect Express. To receive payouts you must complete Stripe's KYC onboarding (identity verification, bank account, tax information). Until KYC is complete, your status remains "pending" and commissions accrue but do not pay out.
The automated payout job runs on or around the 3rd of each calendar month. It transfers the sum of all eligible "pending" commissions for each Affiliate, provided the sum is at least the minimum payout threshold ($10 USD). Sums below the threshold roll forward to the next month.
Payouts are made in USD. Currency conversion to your local currency is handled by Stripe at their then-current exchange rate and fees. EchoClip is not responsible for any losses arising from exchange-rate movement or Stripe fees.
If Stripe rejects a transfer (e.g. account restrictions, missing information), the commission is marked "failed" and we will retry on the next monthly run. Persistent failures (>3 retries) require you to update your Stripe account before payout can resume.
Clawback and refunds
If an invoice that generated a commission is later refunded or successfully disputed (chargeback), the corresponding commission is reversed:
• If the commission has not yet been paid out, its status is set to "clawed_back" and it is excluded from future payouts. • If the commission has already been transferred to your Stripe account, the clawed-back amount is deducted from your next monthly payout. If your next payout is insufficient to cover the deduction, the negative balance carries forward until cleared.
In the rare case that a clawback cannot be recovered against future commissions (e.g. you exit the Program with a negative balance), you agree to repay the amount to EchoClip on written demand.
Prohibited tactics
The following are grounds for immediate suspension, ban, and forfeit of all pending (unpaid) commissions:
• Self-referrals or fronting. Creating sock-puppet or family accounts to redeem your own code. Buying EchoClip subscriptions for friends to circulate cash through your account. • Brand bidding. Bidding on "EchoClip", "EchoClip.ai", or close variants in Google Ads, Bing Ads, Meta Ads, or any paid search/social platform. • Spam. Mass-email, SMS, comment-spam, or any unsolicited promotion that violates CAN-SPAM, GDPR, the TCPA, or your platform's anti-spam rules. • False claims. Misrepresenting our pricing, features, roadmap, refund policy, or testimonials. Claiming endorsements that don't exist. • Cookie stuffing. Forcing the `?ref=` cookie via iframes, redirects, or hidden link injection without the user's intent. • Trademark abuse. Using the EchoClip name or logo in a domain you control, a social profile handle, or a way that confuses customers into thinking you are EchoClip. • Discount stacking abuse. Combining the affiliate code with promotional codes obtained outside the Program. • Sanctioned-country routing. Driving signups from countries we are legally prohibited from serving.
We reserve the right to investigate suspected violations and to retain pending commissions during the investigation period.
Disclosure obligations
You agree to disclose your affiliate relationship with EchoClip in every public-facing promotion, in accordance with the U.S. Federal Trade Commission's Endorsement Guides (16 C.F.R. Part 255) and equivalent laws in your jurisdiction (UK CMA, EU UCPD, ASA Australia, etc.).
Examples of compliant disclosure: "Affiliate link — I earn a commission if you sign up", "#ad #sponsored", or a clear inline disclosure within the first few seconds of a video. Hashtags alone (e.g. "#aff" buried at the end of a long caption) are not sufficient.
Use of EchoClip marks
EchoClip grants the Affiliate a limited, revocable, non-exclusive, non-transferable license to use the "EchoClip" name and approved logos solely for the purpose of promoting EchoClip under the Program, subject to these Affiliate Terms.
You may not (i) modify the marks, (ii) use them in a way that implies official partnership, endorsement, employment, or affiliation beyond the affiliate relationship, (iii) register them as a trademark, domain, social handle, or app store listing, or (iv) use them in any defamatory, obscene, or otherwise unlawful manner.
All goodwill arising from your use of the marks inures to EchoClip's benefit. The license terminates immediately on suspension, ban, or withdrawal from the Program.
Taxes and reporting
You are solely responsible for declaring and paying any income, withholding, sales, VAT, or other taxes applicable to commission income in your jurisdiction.
For U.S.-resident Affiliates earning $600 or more in a calendar year, Stripe Express will collect a W-9 during KYC and issue a Form 1099-MISC at year-end. For Affiliates outside the United States, Stripe collects the relevant tax form (W-8BEN, W-8BEN-E, etc.) and we do not withhold tax beyond what Stripe is legally required to.
You warrant that the tax information you provide to Stripe is accurate and complete. You will indemnify EchoClip for any tax, penalty, or interest assessed against us as a result of inaccurate information you provided.
Termination
Either party may terminate participation in the Program at any time and for any reason. EchoClip may terminate immediately without notice if we believe you have violated these Affiliate Terms, the EchoClip Terms of Service, applicable law, or the integrity of the Program.
On termination:
• Your affiliate code is deactivated and no further commissions accrue. • Commissions accrued before termination are paid out on the next monthly run unless they were earned through fraud or violation, in which case they are forfeited. • The license to use EchoClip marks ends immediately. You must remove EchoClip branding from any materials within 30 days.
Clauses that by their nature should survive termination (taxes, clawback, indemnity, governing law) survive.
Independent contractor
Nothing in these Affiliate Terms creates an employment, agency, joint venture, or partnership relationship between you and EchoClip. You are an independent contractor and are responsible for your own expenses, equipment, and taxes. You have no authority to bind EchoClip or to represent yourself as an employee, agent, or official representative of EchoClip.
Disclaimers and liability
The Program is provided "as is" without warranty of any kind. EchoClip does not guarantee any minimum referral volume, conversion rate, customer retention, commission amount, or payout timeline.
To the maximum extent permitted by law, EchoClip's aggregate liability arising out of or related to the Program is limited to the total commissions actually paid to you in the 12 months immediately preceding the event giving rise to the claim. In no event is EchoClip liable for lost profits, indirect, incidental, consequential, special, exemplary, or punitive damages.
Governing law and venue
These Affiliate Terms are governed by the laws applicable to Atlas Ridge Holdings and Developments, Co. as described in the EchoClip Terms of Service, without regard to conflict-of-laws principles. Any dispute arising out of or related to these Affiliate Terms will be resolved in the venue specified in the EchoClip Terms of Service.
Changes to these terms
We may modify these Affiliate Terms at any time by posting a revised version at echoclip.ai/affiliate-terms and updating the "Last updated" date. Material changes will additionally be communicated via email or in the affiliate dashboard with at least 14 days' notice. Continued participation in the Program after a change constitutes acceptance of the revised terms.
