1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Atlas Ridge Holdings and Developments, Co., trading as EchoClip.ai ("EchoClip", "we", "us", "our"), governing your access to and use of the EchoClip.ai platform, APIs, web applications, mobile applications, and all related services (collectively, the "Service").

By registering an account, clicking "I agree", or by simply accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (incorporated herein by reference).

If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, and these Terms apply to that entity. If you do not have such authority, you must not accept these Terms or use the Service.

We reserve the right to update or replace these Terms at any time. The most current version will always be published at echoclip.ai/terms. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms. It is your responsibility to check these Terms periodically.

2. Description of Service

EchoClip is an AI-powered content creation and distribution platform that enables users to generate video content, clip long-form video, add captions, schedule social media publishing, and track content performance across platforms.

The Service is provided on an "as is" and "as available" basis. We may modify, expand, reduce, suspend, or discontinue any part of the Service at any time, with or without notice, without incurring any liability to you. Features, credit costs, and functionality are subject to change at our sole discretion.

We do not guarantee that the Service will always be available, uninterrupted, error-free, or free from viruses or other harmful components. You access the Service at your own risk.

3. Account Registration & Security

To access most features of the Service, you must register for an account. You agree to provide accurate, complete, and current information during registration and to keep this information up to date.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account — whether or not you authorised it. You agree to notify us immediately at support@echoclip.ai if you suspect any unauthorised use of your account.

You must be at least 16 years old to use the Service. By using the Service, you represent that you meet this age requirement. Accounts registered on behalf of minors without proper legal authority will be terminated.

You may not share, sell, transfer, or otherwise assign your account or account credentials to any third party. We reserve the right to terminate any account that violates this provision, at our sole discretion, without liability.

4. Credits, Pricing & Billing

EchoClip operates on a credit-based system. Credits are the unit of consumption for AI-powered features including but not limited to video generation, AI clipping, caption generation, and publishing actions.

Credit Allocation: The number of credits included in each subscription tier, as well as the credit cost of each action, are subject to change at any time. We may increase or decrease credit costs for any feature without notice.

Auto-Overage: Once a paid plan's monthly credit allowance is used, additional usage is automatically billed to your payment method at the prevailing per-credit overage rate (currently $0.025/credit). You may set a hard spending cap on your Billing page at any time; generations will stop when the cap is reached. Removing the cap is equivalent to consenting to unbounded overage charges within the constraints of fair-use and our acceptable-use policies.

Credit Roll-over: Unused monthly plan credits carry over into the next billing cycle. On account termination, all unused credits are forfeited without refund.

Pricing: All prices are listed in US Dollars (USD) unless otherwise stated. Taxes, levies, and duties applicable in your jurisdiction are your responsibility. We reserve the right to change our subscription prices, the overage rate, introduce new pricing tiers, discontinue existing tiers, or change any fees at any time. Price changes will be communicated via email or on the Service. If you do not accept a price change, you must cancel your subscription before the next billing cycle.

Billing Cadence: Paid subscriptions are offered on either a monthly or annual cadence, selected at checkout. Monthly subscriptions are billed in advance every month. Annual subscriptions are billed in advance once per year at a discounted rate (currently 15% off the equivalent monthly price) and grant the same monthly credit allowance, delivered on the subscriber's renewal anniversary day each month for the duration of the annual term. Overage charges are billed weekly regardless of cadence, in addition to the base subscription fee.

Cancellation: You may cancel a subscription at any time from the Billing page. Cancellation takes effect at the end of the current billing period (the next monthly renewal for monthly subscriptions, or the next annual renewal for annual subscriptions). We do not pro-rate refunds for the unused portion of a paid period. Annual subscriptions are subject to a 14-day money-back guarantee as described in our Refund Policy; outside that window, annual subscription fees are non-refundable.

Payments: Payments are processed by Atlas Ridge Holdings and Developments, Co. through Stripe, Inc.; charges will appear on your bank or card statement as "ECHOCLIP.AI". Refund, billing, and dispute requests are handled by Atlas Ridge Holdings and Developments, Co. trading as EchoClip.ai. By providing payment information, you authorise EchoClip (through its payment processor, Stripe) to charge you for all applicable fees including auto-overage. All payments are non-refundable except as expressly set out in our Refund Policy or as required by applicable law.

Failed Payments: If payment fails, we may suspend your account until payment is resolved. We are not responsible for any losses arising from account suspension due to payment failure.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Upload, generate, or distribute content that is unlawful, defamatory, obscene, pornographic, invasive of another's privacy, or otherwise objectionable. • Use the Service to infringe any third party's intellectual property rights, including copyright, trademark, or patent rights. • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity. • Use the Service to generate or distribute disinformation, deepfakes, or content intended to deceive. • Attempt to reverse-engineer, decompile, disassemble, or otherwise discover the source code of the Service or any underlying AI models. • Scrape, crawl, or otherwise extract data from the Service in bulk without our written consent. • Use the Service to send spam, unsolicited messages, or engage in any form of automated abuse. • Attempt to gain unauthorised access to any part of the Service, its servers, or its databases. • Interfere with or disrupt the integrity or performance of the Service. • Upload content that contains malware, viruses, or any other malicious code. • Use the Service for any illegal surveillance, harassment, or stalking. • Violate any applicable local, state, national, or international law or regulation.

We reserve the right — but are under no obligation — to review, monitor, or remove any content that, in our sole judgment, violates these Terms or is otherwise objectionable. We accept no liability for any failure to remove such content.

6. User Content

You retain all ownership rights in content you upload to or create through the Service (“User Content”). By uploading User Content, you grant EchoClip a non-exclusive, worldwide, royalty-free, sublicensable licence to host, store, process, reproduce, modify (for technical purposes such as format conversion), display, and distribute your User Content solely to the extent necessary to provide and improve the Service.

You are solely responsible for your User Content. You represent and warrant that: (a) you own or have the necessary rights to your User Content; (b) your User Content does not infringe any third party's intellectual property, privacy, or other rights; and (c) your User Content complies with these Terms and all applicable laws.

EchoClip does not endorse, verify, or assume liability for any User Content. We expressly disclaim all liability arising from User Content uploaded by any user.

We have no obligation to store your User Content indefinitely. Upon account termination or prolonged inactivity, User Content may be deleted without notice.

7. Intellectual Property

The Service, including its design, code, text, graphics, logos, AI models, and all related materials, is the exclusive property of EchoClip and its licensors, protected by copyright, trademark, and other intellectual property laws.

AI-generated outputs produced through the Service are provided to you under a limited, non-exclusive licence for your personal or commercial use, subject to these Terms. EchoClip makes no representations regarding the ownership, copyright status, or uniqueness of AI-generated outputs, and you use them at your own risk. You are solely responsible for ensuring that any AI-generated content you publish or distribute does not infringe any third party's rights.

The EchoClip name, logo, and associated marks are proprietary marks of Atlas Ridge Holdings and Developments, Co. You may not use these marks without our prior written consent.

8. Third-Party Services & Integrations

The Service integrates with and relies on third-party services including but not limited to Stripe (payments), Supabase (database and authentication), Railway (infrastructure), Vercel (hosting), OpenAI, Replicate, and various social media platforms (YouTube, Instagram, TikTok, X, Threads, Pinterest).

EchoClip is not responsible for the availability, accuracy, quality, or reliability of any third-party service. We do not control third-party services and are not liable for any disruption, data loss, or harm arising from their use or malfunction.

Third-party services may have their own terms of service and privacy policies, which you are responsible for reading and complying with. Your use of third-party integrations (such as connecting social media accounts) is governed by the terms of those third parties.

We may change, add, or remove third-party integrations at any time without notice or liability.

9. Service Availability & Changes

We make no warranty that the Service will be available at any particular time, or that it will be uninterrupted, error-free, or free of harmful components. The Service may be temporarily unavailable for maintenance, upgrades, or other reasons.

We reserve the right, at our sole discretion, to: (a) modify, suspend, or discontinue any feature or aspect of the Service; (b) impose limits on certain features or restrict access to parts of the Service; (c) discontinue the Service entirely, with or without notice and without any liability to you.

We will endeavour to provide notice of material changes to the Service, but are not obligated to do so. You agree that EchoClip will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ECHOCLIP EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION: (A) ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT; (B) ANY WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (C) ANY WARRANTY THAT THE SERVICE WILL BE AVAILABLE AT ANY PARTICULAR TIME, OR WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (D) ANY WARRANTY AS TO THE ACCURACY, RELIABILITY, COMPLETENESS, OR QUALITY OF ANY CONTENT, INFORMATION, OR RESULTS OBTAINED THROUGH THE SERVICE; (E) ANY WARRANTY THAT DEFECTS IN THE SERVICE WILL BE CORRECTED; AND (F) ANY WARRANTY WITH RESPECT TO AI-GENERATED OUTPUTS, INCLUDING WITHOUT LIMITATION THEIR ACCURACY, LEGALITY, OR FITNESS FOR ANY PURPOSE.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. In such jurisdictions, our liability is limited to the minimum extent permitted by law.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ECHOCLIP, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES; • LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR ANTICIPATED SAVINGS; • LOSS OR CORRUPTION OF USER CONTENT; • COST OF SUBSTITUTE GOODS OR SERVICES; • DAMAGE TO REPUTATION; • PERSONAL INJURY OR PROPERTY DAMAGE OF ANY KIND;

ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ECHOCLIP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE ABOVE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND REGARDLESS OF WHETHER ECHOCLIP WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

IF YOU ARE DISSATISFIED WITH THE SERVICE OR ANY PORTION OF IT, OR WITH THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SERVICE.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you in full.

12. Indemnification

You agree to indemnify, defend, and hold harmless EchoClip, its affiliates, officers, directors, employees, consultants, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with:

(a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; (e) your infringement of any third party's rights, including intellectual property rights; (f) any dispute between you and another user of the Service.

EchoClip reserves the right, at your expense, to assume the exclusive defence and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defence of such claims. You agree not to settle any matter without our prior written consent.

13. Termination

EchoClip reserves the right to suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice, and without incurring any liability to you. Grounds for termination include but are not limited to: violation of these Terms, conduct harmful to other users or to EchoClip, or any other reason at our sole discretion.

Upon termination: (a) your right to access and use the Service ceases immediately; (b) your licence to use the Service is revoked; (c) unused credits are forfeited without refund; (d) your User Content may be deleted after a 30-day grace period.

You may cancel your account at any time through your account settings. Cancellation does not entitle you to a pro-rated refund of any prepaid fees unless required by applicable law.

All provisions of these Terms that by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of South Africa, without regard to its conflict-of-law principles. Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of South Africa, and you irrevocably submit to the personal jurisdiction of those courts.

Before initiating any formal legal proceeding, you agree to attempt to resolve disputes informally by contacting us at legal@echoclip.ai. We will make good-faith efforts to resolve disputes within 30 days of receipt.

You agree that any cause of action arising out of or related to the Service must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action is permanently barred.

To the extent permitted by law, you waive any right to a jury trial in connection with any action or litigation arising out of or related to these Terms or the Service.

15. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and any additional terms you agree to, constitute the entire agreement between you and EchoClip with respect to the Service.

Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights under these Terms without restriction.

Force Majeure: EchoClip is not liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to natural disasters, war, terrorism, labour disputes, internet outages, or government actions.

No Agency: Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between you and EchoClip.

16. Copyright Complaints & Takedowns

EchoClip respects the intellectual property rights of others and expects its users to do the same. If you believe content on the Service infringes your copyright, please send a written notice to abuse@echoclip.ai that includes:

• A description of the copyrighted work you claim has been infringed. • A link or sufficient information for us to locate the allegedly infringing material on the Service. • Your contact information: full name, email address, postal address, and (where available) telephone number. • A statement that you have a good-faith belief that the use of the material is not authorised by the copyright owner, its agent, or the law. • A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorised to act on the copyright owner's behalf. • Your physical or electronic signature.

On receipt of a valid notice we will remove or disable access to the allegedly infringing material and notify the user who uploaded it. The uploading user may submit a counter-notice containing the same elements as above plus a statement consenting to jurisdiction. We may, at our sole discretion, terminate the accounts of users who are determined to be repeat infringers.

Misrepresentations in a copyright notice or counter-notice may expose you to liability for damages, including legal fees, under applicable copyright law.
